Stephen C. Andrews is a founding member of the Firm, concentrating his practice on all aspects of complex and high net worth family law, including divorce, alimony, custody, support, property division, and antenuptial agreements. Steve also handles estate, trust, probate, and guardianship litigation in which he defends executors, administrators, trustees, guardians and other fiduciaries from disputed claims. He prosecutes “will contests” and other litigation involving claims of fraud, mismanagement, forgery, undue influence, incapacity, and breach of fiduciary duty by those who have been wrongfully deprived of their assets or inheritance. His extensive experience includes disputes and trials throughout the State of Georgia, and appeals to the Georgia Court of Appeals and Supreme Court. Steve brings order to chaos with creative, cost-effective solutions to complex problems.
Among other honors, Steve is peer rated AV® Preeminent™ (the highest possible rating) by the legal rating service, Martindale-Hubbell. He has been recognized as a Georgia Super Lawyer since 2004 (chosen by his peers through the independent research of Law & Politics magazine in Atlanta Magazine), including five (5) years as a Top 100 Lawyer in the State of Georgia. Rachel is an associate at the Firm, who focuses on business litigation and employment matters. Prior to joining the Firm, Rachel worked as a law clerk for the Honorable Judge Christopher C. Bly in the Northern District of Georgia, where she drafted orders and reports and recommendations, and handled a number of pretrial matters.
Originally from South Florida, Rachel attended college at the University of Florida, and she received her Juris Doctor degree from Emory University School of Law. While at Emory, Rachel was a Notes and Comments Editor for the Emory Law Journal. She also worked in both the Barton Child Law and Policy Clinic and the Turner Environmental Law Clinic.
Rachel enjoys spending time with her friends and family, traveling, and exploring all of the amazing food and nature Atlanta has to offer.

Brian Bodker is a founding member of the firm who has practiced as a business and transaction attorney for over 35 years and is also a non-practicing Certified Public Accountant. He has extensive experience in advising “middle market” companies (annual revenues in the $5M to $250M range) and “large market companies” in various industries including business and consumer services, professional services, health care, manufacturing, and technology in various transactions and situations. These include structuring and funding their corporate and other business entities and the related ownership arrangements (and includes creating and advising on effective governance (board of directors) for entrepreneurial and privately-held business organizations), buying and selling business units, and structuring and documenting employment, supply chain, supplier, customer and strategic relationships and agreements and licensing and regulatory requirements.
Brian’s (and the firm’s) direction and approach is focused on probing and collaboratively identifying the real issues and problems facing the client and finding unique long-term solutions. This pragmatic approach is always client focused and provides both cost and time effectiveness. Accordingly, Brian works closely with his clients to understand their businesses to avoid or limit downstream disputes, liabilities and exposures including review of compliance with federal, state and local laws and to plan and take steps toward ultimate sale, disposition, or refinance of those businesses. His experience is crucial in finding cost effective solutions for clients. Brian also provides counsel to United States affiliates of entities based outside of the United States.
Brian has lived in Atlanta since 1971. He is a lifetime golfer, enjoys traveling, fitness, and staying active in the community and with friends.

Christopher Day is a senior associate with the Firm’s corporate and real estate transactions departments. A native of the Atlanta metro area, Chris attended the University of Georgia where he received his Bachelor of Arts in Economics in 2010. He then obtained his Juris Doctor and Masters in Business Administration in 2015 from Georgia State University.
Prior to joining the firm, Chris practiced as an associate and partner for a local law firm in Lawrenceville, GA where he practiced in real estate banking and finance, commercial development, corporate formation and governance, and mergers and acquisitions. Chris thrived in representing institutional and private lenders, business entrepreneurs, and investors of real estate. He has experience in drafting, planning and negotiating formation documents, including operating agreements/shareholder agreements and joint venture agreements, as well as helping clients with the many related issues which stem from such business partnerships.
Chris additionally served as in-house counsel to an Atlanta-based real estate development and investment company, which has helped bolster Chris’s understanding of the practicalities of owning and managing a business to better serve his clients’ needs. Chris prides himself on clear and regular communication with his clients to better comprehend the specific needs of their enterprise. Chris’s emphasis on detail and trusted advocacy for his clients help make him a valuable asset for Bodker, Ramsey, Andrews, Winograd & Wildstein, P.C.
While not serving his clients, Chris enjoys spending time with his wife, son and two dogs, and can be spotted around town at the many new dining institutions Atlanta has to offer. He is also a music lover and enjoys playing the piano as his lifelong hobby.

Steve Dix joined the firm following a 30 year in-house career at high tech companies. From 1999 until 2013, Steve served as the Senior Vice president, General Counsel and Secretary at Alpharetta, GA based Convergent Media Systems Corporation. As its General Counsel, Steve managed the company’s legal operations, established internal guidelines for corporate governance, managed its intellectual property, customer contracts, and purchasing and, as a member of the company’s executive committee, participated in the formulation of all corporate policies.
Prior to joining Convergent, Steve was the Chief Counsel for North American Operations at Amdahl Corporation, a Silicon Valley based manufacturer of mainframe computers, associated peripherals and software. There he managed all legal operations within Amdahl’s Field Sales, Operations Services, the Software Marketing Group, and the company’s CE Services Inc. subsidiary. As the Company expanded its sales in the telecommunications market, he coordinated corporate policy on changing telecommunication law and regulation issues.
While having extensive experience handling multi-million dollar transactions for major multi-national companies, he is also very conversant with the growth issues associated with smaller companies. His in-depth knowledge of the high tech industry and related IP issues, plus his broad base of knowledge in matters as diverse as corporate governance, M&A, and labor law, make him a valuable addition to our technology group.
Steve began his legal career as a Lieutenant in the US Navy’s Judge Advocate General’s Corps, and was in private practice in Houston, Texas prior to moving in-house.

- Successfully represented an employer in obtaining a pre-judgment garnishment against a former employee who committed acts of theft and conversion of employer’s assets.
- Successfully represented a creditor to enforce a judgment in excess of $5 million in a case involving fraudulent transfers between closely held companies and family members.
- Represented a German manufacturer in enforcing a consignment and security agreement with its American distributor by successfully seizing collateral inventory and obtaining a final judgment in excess of $600,000.
- Successfully represented the seller of a business at trial to obtain a jury verdict of $750,000 for compensatory and punitive damages against the buyer for breach of the purchase agreement and fraud.
- Successfully represented the owner of a real estate development company to obtain the complete dismissal of claims against him, exceeding $3.5 million, asserted by the general contractor for a mixed use development project.
- Served as special counsel to bankruptcy trustee in Southern District of Florida to successfully prosecute claims against the debtor’s insiders to set aside and avoid fraudulent transfers.
- Successfully represented real estate investor in obtaining a judgment in excess of $9 million against the real estate developers and to obtain a settlement for payment of the judgment.
- Represented commercial lender to successfully confirm the foreclosure sale of collateral properties.
- Successfully represented shareholder in complex business divorce with business co-owner involving claims for breach of fiduciary duty, conversion and breach of contract and successfully obtained restraining order against co-owner to preserve company assets.
- Successfully represented a software company to resolve royalty claims under a software marketing and licensing agreement.
- Successfully defended automobile financing company in case involving tort claims for wrongful repossession and infliction of emotional distress and obtained complete dismissal of all claims.

A North Carolina native, Tim graduated from Duke University with a Bachelor of Science degree. Before attending law school, he obtained his North Carolina Real Estate Broker license. Tim attended the Terry College of Business at the University of Georgia where he obtained his Master of Business Administration degree with an emphasis in Finance. He simultaneously attended the University of Georgia School of Law where he obtained the degree of Juris Doctor Magna Cum Laude. Tim is licensed to practice in the states of Georgia and North Carolina.
Tim provides general business representation to a variety of clients with emphasis in commercial real estate, business organizations and commercial transactions. Clients served include entrepreneurial business owners, software development and licensing companies, automobile dealerships, franchisees, professional service providers, insurance agents and brokers, financial advisors, commercial real estate owners, investors, developers and builders, industrial manufacturers, and retailers. He plays a key role in growth and exit strategic planning with his clients, and results oriented implementation.

Tom Rosseland represents international and domestic clients in a variety of industries and practices in business and corporate matters, creditor matters inside and outside of bankruptcy and complex business litigation. Tom acts as outside general counsel for many of his international and domestic clients and understands client needs in a business and corporate environment including identifying and mitigating risk exposure.
Tom serves as Honorary Consul for the Kingdom of Sweden and the Kingdom of Norway, and he celebrates his Scandinavian heritage (Swedish mother and Norwegian father). Tom also facilitates an International Round Table and he has served as Chair of the International Section of the Atlanta Bar Association. He is a currently active Board Member of the Swedish-American Chamber of Commerce (Georgia) and has previously served as its Chair.
