Summary of Experience: Brian Bodker is a founding member of the firm who works in the business and transaction practice. He has practiced in these areas for over 20 years in the Atlanta area. He is also a non-practicing Certified Public Accountant. Brian has extensive experience in advising small to mid size companies (including family businesses) in various industries including business and consumer services, professional services, health care, manufacturing, and technology in various transactions and situations. These transactions and situations include structuring and funding their corporate and other business entities and the related ownership arrangements, buying and selling business units, and structuring and documenting employment arrangements and vendor, customer and strategic relationships and agreements. Brian works closely with his clients to understand their businesses to avoid or limit downstream disputes, liabilities and exposures including review of compliance with federal, state and local laws. His experience is crucial in finding cost effective solutions for clients. Specific Accomplishments: Negotiating and closing an over fifty million dollar sale of a consumer collections business to an incoming telemarketing business. Structuring and negotiating an over fifty million dollar retail store development product and brand development agreement on behalf of a retail brand and fixture design company. Advising and closing senior lending facilities for many clients--Corporate legal audit determined non-compliance with state consumer lending laws; non-compliance could have resulted in shutting down business. Education: Brian has lived in Atlanta since 1971. He attended the Terry College of Business at the University of Georgia where he studied accounting. He worked for an international accounting firm in its tax practice before attending the University of Georgia Law School. Brian was a Woodruff Scholar at the University of Georgia Law School (full-tuition scholarship). Honors: Among the honors he has received, Brian won the Georgia Society of Certified Public Accountants Gold Key Award and the American Institute of Certified Public Accountants Elijah Watts Sell Award for having the highest score in Georgia on the May, 1979 CPA Exam. Brian has served as an officer and as a board member of The Standard Club since 1995.
